Netflix has declined to raise its bid for Warner Bros. Discovery, leaving Paramount Skydance set to acquire the studio after Netflix shareholders appeared skeptical of the deal.
Netflix officially declined to raise its bid for Warner Bros. Discovery this week, bringing an end to its pursuit of the Hollywood studio. The decision clears the path for Paramount Skydance, which is now set to win ownership of the media company. This development represents a significant shift from December, when Netflix seemed to win the bidding war. However, Netflix’s commitment to the transaction reportedly wavered after Paramount Skydance returned with an increased offer, signaling that Paramount seemed willing to continue a bidding war for the studio.
The decision to walk away from the transaction follows skepticism from Netflix shareholders, who appeared skeptical that the deal was a good one. This investor anxiety was reflected in the market: Netflix’s share price declined 30% since the acquisition was announced. Conversely, the news that Netflix was backing down from the deal sent its stock price back up by nearly 14%. In addition to avoiding a costly bidding war, Netflix collected a $2.8 billion breakup fee—defined as a financial penalty paid if a deal is terminated—from Paramount. Netflix co-CEOs Ted Sarandos and Greg Peters said they were being financially disciplined, choosing to back down from a bidding war that they had previously seemed to win back in December.
The final stages of the deal also carried political undertones. On Thursday, co-CEO Ted Sarandos met with Trump administration officials. Although Sarandos may have decided to concede before meeting with Trump administration officials, he reportedly discussed the transaction with President Donald Trump. During their interaction, Sarandos reportedly told him, “I took your advice,” regarding not overpaying. Meanwhile, the outcome has created anxiety within the target company. Warner Bros. employees are concerned about layoffs and conservative political pressure on CNN, as they now face the prospect of ownership under Paramount Skydance.
