Roelof Botha joins SpaceX board of directors
Former Sequoia Capital managing partner Roelof Botha has joined the SpaceX board of directors, shortly after the company completed its record-breaking initial public offering.
On Wednesday, SpaceX announced in a regulatory filing with the Securities and Exchange Commission (the US financial regulator) that Roelof Botha is joining its board of directors. The appointment comes shortly after SpaceX went public in the largest IPO (Initial Public Offering) ever. According to the filing, Botha was appointed to fill an open seat on the board and will serve until SpaceX’s next annual shareholder meeting. He will also join the board’s audit committee, which is the board committee responsible for oversight of financial reporting. SpaceX stated in the filing that Botha has significant public company experience and a strong background with audit committees. The addition of Botha brings the SpaceX board to nine directors.
The regulatory filing also disclosed that a family member of Botha has worked at SpaceX since January 2025 as a member of the enterprise operations team. This family member’s compensation exceeded the $120,000 reporting threshold, though SpaceX noted the pay is generally commensurate with peers. Botha joins a board where CEO Elon Musk enjoys near-absolute control and shareholders have little power. Musk holds more than 80% of the company’s voting power—defined as shareholder influence over company decisions—and maintains control over all changes to the board’s makeup.
Botha, who is also from South Africa, has a professional relationship with Musk that spans over 25 years. Musk hired Botha to run the finance division of the payments company PayPal, where Botha started in March of that year (2000) before Musk was pushed out as CEO in September 2000. Reflecting on their history, Botha, now a SpaceX board member, stated: “He was the first person to offer me a job in America. He believed in me when I was an unknown student at Stanford. I have a lot of appreciation and understanding that he’s not perfect. None of us are. He deeply cares about doing the right thing.”
Botha stepped down from his role as Sequoia Capital’s leader late last year as the firm dealt with blowback against partner Shaun Maguire, who made comments attacking then-New York City mayoral candidate Zohran Mamdani. Sequoia Capital, where Botha previously served as managing partner, invested in SpaceX in 2019. The firm reportedly owned 1.5% of SpaceX heading into the IPO, a position valued at more than $20 billion.
Why it matters
The appointment of Roelof Botha to the SpaceX board adds a seasoned investor to the governance structure of the recently public company, which is characterized by Elon Musk’s near-absolute control.
