SpaceX, Tesla, and xAI reportedly in early merger talks
Reports suggest Elon Musk is exploring potential mergers between SpaceX, Tesla, and xAI, with a possible SpaceX-xAI combination occurring ahead of a planned June Initial Public Offering (IPO).
SpaceX, Tesla, and artificial intelligence startup xAI are reportedly in early-stage talks regarding a potential merger, according to reports from Bloomberg and Reuters. While the discussions appear to be in an early stage, they could eventually lead to at least one of the companies folding into SpaceX. Currently, company representatives from SpaceX and xAI have not discussed this possibility in public.
Two specific scenarios are currently being considered. In the first scenario, SpaceX and Tesla would merge, according to Bloomberg, which cited unnamed insiders. In the second scenario, SpaceX and xAI—which already owns Musk’s social media platform X—would combine. Although there has been no public confirmation, corporate filings show that two new entities, K2 Merger Sub Inc. and K2 Merger Sub 2 LLC, were established in Nevada on January 21. This corporate activity suggests that Musk is keeping his options open.
This potential consolidation follows significant capital movements among the companies, including substantial investments in xAI. Last year, SpaceX agreed to invest $2 billion in xAI, according to reporting by The Wall Street Journal. More recently, Tesla revealed that it has also invested $2 billion in the artificial intelligence startup.
The financial landscape of the involved entities includes the following valuations and investments:
- SpaceX valuation: Reportedly valued at $800 billion following a secondary sale—defined as the sale of existing shares in a private company. Founded in 2002, SpaceX is currently the most valuable private company in the U.S.
- xAI valuation: Valued at $80 billion.
- X valuation: Valued at $33 billion.
- Corporate investments: Both SpaceX and Tesla have each invested $2 billion into xAI.
According to reporting by Reuters, a merger between SpaceX and xAI could take place ahead of a planned SpaceX Initial Public Offering (IPO) this year. A report from the Financial Times indicated that Musk wants to take SpaceX public in June, though his plans rarely happen on time. Combining SpaceX and xAI could allow xAI to place its data centers in space, a concept Musk has previously favored. Alternatively, a SpaceX-Tesla merger could align the electric vehicle maker’s energy storage business with the space-based data center concept.
